This REMARKETING AGREEMENT (this "Agreement"), dated February 28, 2008, by and between PASCO COUNTY, FLORIDA (the "County") and UBS SECURITIES LLC, as remarketing agent (together with its successors and assigns hereinafter referred to as the "Remarketing Agent"), with respect to $ principal amount of Solid Waste Disposal and Resource Recovery System Refunding Revenue Bonds, Series 2008A (Taxable) (the "Bonds") issued pursuant to the Master Trust Indenture, dated as of February 1, 2008 (the "Master Indenture"), as supplemented by the First Supplemental Indenture, dated as of February 1, 2008 (the "First Supplemental Indenture" and collectively with the Master Indenture, the "Trust Indenture"), by and between the County and U.S. Bank National Association, a national banking association (together with its successors and assigns, the "Bond Trustee"). Capitalized terms used herein but not otherwise defined herein have the respective meanings set forth in Appendix A hereto.
