This Agreement was reached through voluntary negotiations without resort to mediation or arbitration and is being submitted pursuant to Section 252(e) of the Communications Act of 1934, as amended by the Telecommunications Act of 1996 (“the Act”), and the requirements of Utah Code Ann. 54-8b-2.2(1)(d)(i).

This Agreement (“Agreement”) shall be deemed effective as of June 30, 2018 (the “Effective Date”), between Onvoy, LLC (“Onvoy”), a limited liability company organized under the laws of the State of Minnesota, with offices at 10300 6th Avenue North, Plymouth, MN 55441 and Citizens Telecommunications Company of New York, Inc., a corporation, Frontier Communications of Breezewood, LLC, Frontier Communications of Canton, LLC, Frontier Communications of Lakewood, LLC, Frontier Communications of Oswayo River LLC, and Frontier Communications of Pennsylvania, LLC, limited liability companies, organized under the laws of the Commonwealth of Pennsylvania (“Frontier”) with offices at 401 Merritt 7, Norwalk, CT 06851, (Frontier and Onvoy may be referred to hereinafter, each, individually as a “Party”, and, collectively, as the “Parties”).
