This Settlement and Patent Cross License Agreement (“Agreement”) is entered into as of the date of execution by both parties thereto (“Effective Date”) by and between Standard Innovation Corporation, a Canadian corporation, having an office at Suite 310, 1130 Morrison Drive, Ottawa, Ontario, Canada, K2H 9N6 (“SIC”), and LELO, Inc., a California corporation, having an office at Suite 205, 4320 Stevens Creek Blvd., San Jose, CA, 95129, (“LELO”) (each of SIC and LELO being a “Party” and together the “Parties”), together with members of their respective Company Groups (as defined below) who become parties to this Agreement pursuant to Section 9(p) hereof.
