This Guaranty (this “Guaranty”) is dated as of June 15, 2006 by COMSYS IT CANADA, INC., a North Carolina corporation, formerly known as VTP-CA, Inc. (“COMSYS Canada”; COMSYS Canada together with each other Person who becomes a party to this Agreement by execution of a joinder in the form of Exhibit A attached hereto are sometimes referred to hereinafter individually as a “Guarantor” and collectively as the “Guarantors”) , in favor of MERRILL LYNCH CAPITAL, a division of Merrill Lynch Business Financial Services Inc., in its capacity as Administrative Agent under the Credit Agreement described below (the “Agent”).

(“Administrative Agent; Administrative Agent and Collateral Agent are sometimes hereinafter referred to individually as an “Agent” and together as the “Agents”).
