("WBI"), both registered bank holding companies, and their subsidiary bank, Bank of Whitman, (the "Bank"), a state chartered bank that is a member of the Federal Reserve System, all of Colfax, Washington, ESOP, WBI, the Bank, and the Federal Reserve Bank of San Francisco (the "Reserve Bank") have mutually agreed to enter into this Written Agreement (the "Agreement"); and
