A franchise agreement is a legal, binding contract between the franchisor and the franchisee. In the United States, franchising agreements are applied at the state level. Before franchisees signed a contract, the U.S. Federal Trade Commission regulated disclosure under the franchise rule. The franchising rule requires franchisees to provide a franchise disclosure document (FDD) (originally called Uniform Franchise Offering Circular (UFOC) before signing a franchise agreement at least fourteen days before the franchise agreement is signed. Once the federal ten-day waiting period has passed, the Franchise Agreement becomes a state-level jurisdiction document. Each state has unique laws regarding franchising agreements. The contents of the franchise agreement may vary significantly in content depending on the franchise system, the state jurisdiction of the franchisor, the franchisee and the arbitrator.
