THIS MEMBERSHIP INTEREST PURCHASE AGREEMENT (this “Agreement”) dated as of April 14, 2015 is entered into by and among AMI INTERMEDIATE, LLC, a Delaware limited liability company (“Buyer”) and Harte Hanks, Inc., a Delaware corporation (“Seller”).
