WHEREAS, pursuant to that certain Membership Interest Purchase Agreement dated as of December 13, 2018 by and among Licensee and the other parties thereto, as amended by that certain Amendment to Membership Interest Purchase Agreement dated as of May 9, 2019 (as the same may hereafter be further amended, modified, supplemented, renewed, restated or replaced, the “HOR Purchase Agreement”), the Parties have entered into that certain Amended and Restated Intellectual Property License, dated December 13, 2018, as amended by that certain Amendment to Amended and Restated Intellectual Property License Agreement dated as of May 4, 2019 (as the same may hereafter be further amended, modified, supplemented, renewed, restated or replaced, the “License Agreement”);
