This Investment Management Agreement (this "Agreement") is made and entered into as of June 1, 2021 (the "Effective Date") by and between Sunstone Multifamily Fund VI, LLC, a Delaware limited liability company (the "Company"), and Sunstone Properties Trust Advisors, LLC, a Delaware limited liability company ("Manager"). All capitalized terms that have not been defined herein shall have the meanings ascribed to such terms as provided in the Operating Agreement of the Company (the "Operating Agreement").
