This MASTER INDENTURE, dated as of May 1, 2010 (the “Master Indenture”), is entered into by and between the PUBLIC FACILITIES FINANCING AUTHORITY OF THE CITY OF SAN DIEGO, a joint exercise of powers entity duly organized and existing under and by virtue of the laws of the State of California (the “Authority”), and WELLS FARGO BANK, N.A., a national banking association existing under and by virtue of the laws of the United States of America, as trustee (the “Trustee”). (Capitalized terms used in the Whereas clauses that are not defined therein have the meanings provided in Section 1.01 hereof.)
