THIS AGREEMENT is made and entered into as of this 26th day of October, 1995, between and among AT&T Corp., a corporation organized and existing under the laws of the State of New York and having an office at 340 Mount Kemble Avenue, Morristown, New Jersey 07960 U.S.A. (hereinafter called "AT&T" which expression shall include its successors and assigns), Transoceanic Communications, Incorporated, a corporation organized and existing under the laws of the State of Delaware and having an office at 340 Mount Kemble Avenue, Morristown, New Jersey 07960 U.S.A. (hereinafter referred to as "TOCI" which expression shall include its successors and assigns) and CTS Communication Telesystems International, a corporation organized and existing under the laws of California and having an office at 4350 LaJolla Village Drive, Suite 100, San Diego, CA 92122, (hereinafter referred to as "Purchaser" which expression shall include its successors and assigns).
