AGREEMENT (this “Amendment”), dated March 19, 2021, is made between the Millennium Challenge Corporation (“MCC”), a United States Government corporation, and the Government of the Republic of Malawi (the “Government”), acting through the Ministry of Finance (the “Ministry”). The Government and MCC are referred to herein as the “Parties” and each, individually, a “Party.” Except as otherwise expressly provided herein, capitalized terms used in this Amendment shall have the respective meanings given to such terms in the Agreement (as defined below).
