The materials, supplies and/or services furnished by Supplier (together, the “Services") and covered by the CNA-Q Purchase Order (“PO") and/or other agreement (which, when combined with these Terms and Conditions and any other documents incorporated by reference, will constitute the “Agreement") are governed by the terms and conditions set forth herein. As used herein, the term "Supplier" includes Supplier/contractor/service provider and its sub-suppliers/contractors at any tier. No other terms or conditions will be binding upon the parties unless accepted by them in writing. Written acceptance or shipment of all or any portion of the materials and/or supplies (“Goods"), or the performance of all or any portion of the services, covered by the Agreement, will constitute Supplier’s unqualified acceptance of all of the Agreement’s terms and conditions.
