The purpose of this term sheet is to set forth non-binding terms (the “Non-Binding Term Sheet”) between the City of Ansonia, a municipal corporation with its principal offices located at 253 Main Street, Ansonia, Connecticut (“Ansonia”) and the City of Derby, a municipal corporation with its principal offices located at 1 Elizabeth Street, Derby, Connecticut (“Derby”, and together with Ansonia, the “Parties”) which outlines the proposed terms of an Intermunicipal Agreement (the “Intermunicipal Agreement”) for the creation of a multi-town senior center (the “Senior Center”) consisting of approximately 8,000 square feet of space located on the first floor of 65 Main Street, Ansonia, Connecticut (the “Premises”). The Parties acknowledge that this Non- Binding Term Sheet is qualified and subject to the drafting and execution of the formal written Intermunicipal Agreement
