This SALE AND PURCHASE AGREEMENT (this “Agreement”) is entered into as of July 31, 2006, by and between CITGO PETROLEUM CORPORATION, a Delaware corporation (“Seller”), and LYONDELL CHEMICAL COMPANY, a Delaware corporation (“Buyer”).
