On July 6, 2023, Heritage NOLA Bancorp, Inc. (the “Company” or “Heritage NOLA Bancorp”) entered into an Agreement and Plan of Reorganization by and among M C Bancshares, Inc. (“MCBI”), HNBI Acquisition Corporation (“Acquisition Corp.”) and Heritage NOLA Bancorp (the “Merger Agreement”), pursuant to which MCBI will acquire Heritage NOLA Bancorp in an all-cash transaction. Under the Merger Agreement, Acquisition Corp. will merge with and into Heritage NOLA Bancorp, with Heritage NOLA Bancorp as the surviving entity (the “merger”). Immediately following the merger, Heritage NOLA Bancorp will merge with and into MCBI, with MCBI as the surviving corporation (the “Parent Merger”) and Heritage NOLA Bancorp will cease to exist. After the Parent Merger, Heritage Bank of St. Tammany (“Heritage Bank”) will merge with and into M C Bank & Trust Company (“M C Bank”) pursuant to a bank merger agreement (the “Bank Merger”), with M C Bank as the surviving institution and Heritage Bank will cease to exi
