THIS PURCHASE AND SALE AGREEMENT (“Agreement”) is entered into this day of August, 2022 (“Effective Date”), by and between L.G. Everist, Incorporated, a South Dakota corporation, whose address is 7321 East 88th Avenue, Suite 200, Henderson, Colorado 80640 (“LGE” or “Seller”) and Town of Firestone, a Colorado municipal corporation, acting by and through its Town of Firestone Water Activity Enterprise organized and existing as a water activity enterprise under C.R.S. § 37-45.1-101 et seq., whose address is 9950 Park Avenue, Firestone, Colorado 80520 (“Firestone” or “Buyer”). LGE and Firestone may be referred to herein collectively as “Parties” or individually as “Party.”
