This Continuing Disclosure Agreement dated as of 1, 2013 (this “Disclosure Agreement”), is executed and delivered by the Central Oklahoma Transportation and Parking Authority (the “Issuer”) in connection with the issuance of its Central Oklahoma Transportation and Parking Authority Parking System Revenue Bonds in one or more series and in tax exempt and/or taxable form (the “Bonds”). The Bonds are being issued pursuant to a General Bond Indenture dated as of 1, 2013, as supplemented by one or more Series 2013 Supplemental Bond Indentures dated as of 1, 2013 (collectively, the “Bond Indenture”) under which (TRUSTEE BANK), Oklahoma City, Oklahoma serves as trustee (the “Trustee”). The Issuer hereby covenants and agrees as follows:
