You are currently employed by the Company pursuant to an Employment Agreement made November 22, 2006, effective as of November 26, 2006 as amended pursuant to Amendments effective as of January 22, 2007, March 7, 2007 and May 7, 2007 respectively (the “Prior Agreement”). The Company wishes to amend and restate the terms of your employment with the Company and to secure your services on a full-time basis for the period to and including December 31, 2010 on and subject to the terms and conditions set forth in this Agreement, and you are willing to provides such services on and subject to the terms and conditions set forth in this Agreement.
