WHEREAS, Client and Sodexo entered into a certain Management Agreement, dated May 21, 2015, as amended (“Agreement”), whereby Sodexo manages and operates Client’s Food Services operation at 820 N. Washington Avenue, Madison, South Dakota 57042 ("Premises");
