This Settlement (“Agreement”) is entered into as of October 17, 2019 (the “Effective Date”), by and among The Huntington National Bank (“HNB”), Wilmington Trust Company, not in its individual capacity but solely as owner trustee and lessor under a trust agreement dated as of April 3, 2006 for the benefit of HNB (“Owner Trustee”), Bristow U.S. LLC (“Lessee”) and Bristow Group Inc. (“Guarantor” and, collectively with Lessee, “Debtors”). HNB, Owner Trustee and Debtors are sometimes referred to collectively herein as the “Parties” and each, at times, as applicable, a “Party.” Capitalized terms not otherwise defined or referenced herein shall have the same meaning as ascribed to them in the Amended Joint Plan of Reorganization of Bristow Group Inc. and Its Debtor Affiliates, As Further Modified [Docket No. 742] (the “Plan”).
