THIS CONFIDENTIALITY AGREEMENT (this “Agreement”) is entered into as of May , 2016, between Sessa Capital (Master) L.P., a Cayman Islands exempted limited partnership (“Sessa”), and Ashford Hospitality Prime, Inc., a Maryland corporation, the members of Ashford Hospitality Prime Inc.’s board of directors and Ashford Inc. (collectively “Ashford”). Sessa and Ashford are collectively referred to herein as the “Parties” and each individually as a “Party.”
