WHEREAS subject to the terms and conditions hereof, the Purchaser wishes to acquire the business of CoinAnalyst pursuant to the Business Combination (as defined herein) whereby upon the completion of the Business Combination in the manner described herein, the Purchaser will acquire, via a wholly-owned subsidiary, all of the issued and outstanding securities of CoinAnalyst and list the Resulting Issuer Shares (as defined herein) on the CSE (as defined herein);
