Denbury Onshore, LLC (“Buyer”), a Delaware limited liability company whose address is 5320 Legacy Drive, Plano, Texas 75024, proposes the following Letter Agreement (“Agreement”) by and among Buyer and TexCal Energy South Texas, L.P., a Texas limited partnership whose address is 370 17th Street, Suite 3900, Denver, Colorado 80202-1370 (“Seller”).
