This class action settlement agreement (the “Agreement” or the “Settlement Agreement”) is entered into as of May 18, 2018, by and among Sarah Toney (“Plaintiff”), individually and on behalf of the class of persons she seeks to represent (the “Settlement Class” defined below), Quality Resources, Inc. (“Quality Resources”), and Cheryl Mercuris (“Mercuris”) ( jointly “Defendants”) (the Plaintiff and the Defendants are collectively referred to as the “Parties”). This Settlement Agreement is intended by the Parties to fully, finally, and forever resolve, discharge, and settle the Released Claims (defined below), upon and subject to the terms and conditions of the Agreement, and subject to the final approval of the Court.
