THIS AGREEMENT (“Agreement”) is entered into as of December 14, 2016 (the “Effective Date”) by and between the University of Louisville, an instrumentality of the Commonwealth of Kentucky, acting through its Board of Trustees (“University”), University Medical Center, Inc., a Kentucky nonprofit corporation (“UMC”) and KentuckyOne Health, Inc., a Kentucky nonprofit corporation (“KentuckyOne”). Each of University and UMC are sometimes hereinafter referred to individually as a “University Party,” and, collectively, as the “University Parties.” University, UMC and KentuckyOne may be referred to herein individually as a “Party” and collectively as the “Parties.”
