This Trust Agreement (the “Agreement” or “Trust Agreement”) is made and entered into effective as of the first day of January, 2011, by and between the Benefits Plan Committee (the “Committee”) of SunTrust Banks, Inc., a financial institution with its principal corporate offices in Atlanta, Georgia (the “Company”), and SunTrust Bank, Atlanta, Georgia, as Trustee (the “Trustee”).
