This Settlement Agreement (“Term Sheet”) is entered into as of May 25, 2024 (the “Effective Date”) by and between the State of New Jersey and the New Jersey Board of Public Utilities (the “Board” and, together with the State of New Jersey, the “State”), on the one hand, and Ørsted A/S, Orsted North America Inc., Orsted Wind Power North America LLC,1 Ocean Wind LLC, and Ocean Wind II, LLC (collectively, “Orsted”), on the other. The State and Orsted are from time to time referred to herein as the “Parties” and individually as a “Party.”
