THIS AGREEMENT (the “Agreement”) is made and entered into as of the day of , 201_, by and the CITY OF REDWOOD CITY, a charter city and municipal corporation of the State of California, and the YMCA of Silicon Valley, a California nonprofit corporation, (together, for purposes of this Agreement, the “Client,” or if separately referenced, “City” and/or “YMCA”) and ELS Architecture and Urban Design, a California corporation ("Consultant"). Client and Consultant are sometimes referred to in this Agreement as a “Party” and collectively as the “Parties.”
