This Stipulation and Settlement Agreement and all associated exhibits or attachments (herein “Stipulation”) is made for the sole purpose of settling the Litigation on a collective and class-wide basis. This Stipulation and the settlement it evidences is made in compromise of disputed claims. Because this action was pled as a class action, this settlement must receive preliminary and final approval by the Court. Accordingly, the Parties enter into this Stipulation and associated settlement on a conditional basis. In the event that the Court does not enter the Order Granting Final Approval of Settlement, or in the event that the associated Judgment does not become a Final Judgment for any reason, this Stipulation (except for those provisions relating to non-admissibility and non-admission of liability set forth in sections I, IV, 2.12.4, 2.12.5 and those provisions relating to the return of documents and discovery set forth in section 2.13) shall be deemed null and void ab initio, it sha
