By exercising the Licensed Rights (defined below), the Licensee accepts and agrees to be bound by the terms and conditions of this License Agreement. The Licensee is granted the Licensed Rights in consideration of the Licensee’s acceptance of the terms and conditions in this License Agreement, and the Licensors grant the Licensee such rights in consideration of benefits the Licensors receive from granting the Licensed Rights according to the terms and conditions in this License Agreement.
