THIS CUSTODIAL AND PAYING AGENCY AGREEMENT (as the same shall be amended, modified or supplemented in accordance with the terms hereof, this "Agreement") is made and entered into as of August 24, 2011, by and among (i) CADC/RADC Venture 2011-1, LLC, a Delaware limited liability company (the "Company"), (ii) the Federal Deposit Insurance Corporation in its capacity as Receiver, as the PlvfN Agent under the Reimbursement, Security and Guaranty Agreement (in such capacity, or any successor P"MN Agent under the Reimbursement, Security and Guaranty Agreement, the "PMN Agent"), (iii) the Federal Deposit Insurance Corporation in its capacity as Receiver, as the Initial Member with respect to the Company (in such capacity, the "Initial Member"), (iv) Acom Loan Portfolio Private Owner VI, LLC, a Delaware limited liability company (the "Private Owner"), and (v) WeBs Fargo Bank, National Association, a national banking association (the "Bank").
