THIS GUARANTY (“Guaranty”) is executed as of March 18, 2014, by BPG SUBSIDIARY INC., a Delaware corporation (“BPG Subsidiary”), and BRIXMOR OP GP LLC, a Delaware limited liability company (“Brixmor OP GP,” and together with BPG Subsidiary, collectively, the “Guarantors”), for the benefit of JPMORGAN CHASE BANK, N.A., (“Administrative Agent”), in its capacity as the administrative agent for the Lenders under the Loan Agreement defined below, for the benefit of itself and such Lenders.
