This Data Processing Addendum (the “Addendum” or “DPA”) is incorporated into and forms a part of the Master Subscription Agreement or other similar agreement for Services provided by Processor to Controller (the “Agreement”) (each term as defined below) which expressly references this DPA. In case of any conflict or inconsistency with the terms of the Agreement, this DPA will take precedence over the terms of the Agreement to the extent of such conflict or inconsistency. This DPA supersedes and replaces any prior Data Processing Addendum or other similar data privacy or data protection agreement entered into between Controller and Processor in connection with the Agreement.
