Foy (“Executive”). This Agreement shall only become effective (the “Effective Date”) upon the consummation of the transactions (the “Merger”) contemplated pursuant to that certain Agreement and Plan of Merger, dated as of October 7, 2003 (the “Merger Agreement”), by and among Concerto, Bach Merger Sub, Inc., a Delaware corporation, and Melita International Ltd., a Cayman Islands company. Following the consummation of the Merger, Concerto will be an indirect, wholly-owned subsidiary of Topco (as defined below).
