In consideration of Endeavour entering into an arrangement agreement (the “Arrangement Agreement”) with Avion dated August 7, 2012 providing for a business combination involving Endeavour, Avion and the shareholders of Avion by way of an arrangement pursuant to Section 182 of the Business Corporations Act (Ontario) (the “Arrangement”), this agreement (the “Agreement”) sets out the terms on which each of the securityholders of Avion executing this agreement (each, a “Securityholder”) undertakes to take certain actions and do certain things to support the Arrangement.
