This Merger Agreement (hereinafter referred to as the “Agreement”) is made and entered into by and among Subsidiary (“Subsidiary”), the Subsidiary Plan and the related trust (the “Subsidiary Plan” or the “Subsidiary Trust,” as the case may be), Parent.(“Parent”), and the Parent 401(k) Profit Sharing Plan and the related trust (the “Parent Plan” or the “Parent Trust,” as the case may be) (hereinafter collectively referred to as the “Parties”).
