is made as of and effective on the day of , (the “Effective Date”), by and among Southern California Public Power Authority, a joint powers authority formed and organized pursuant to the California Joint Exercise of Powers Act (California Government Code, Section 6500 et seq), as an Owner of the Facility (“SCPPA”), and EnviroMission (USA), Inc., a corporation organized and existing under the laws of the State of Delaware, in its capacity as an Owner of the Facility (“EnviroMission”), and EnviroMission (USA), Inc., in its capacity as Project Operator (the “Project Operator”). Each of SCPPA and EnviroMission in its capacity as Owner and EnviroMission in its capacity as Project Operator are also referred to in this Agreement as Parties.
