This Agreement is made and entered into by and between Montgomery County (the "County"), a body corporate and politic under the laws of the State of Texas, by and through its Commissioners Court, and Conroe CS Texas Holdings LP, a Delaware limited partnership (the "Developer"), on behalf of Conroe Municipal Management District No. 1, a proposed municipal management district and political subdivision of the State of Texas (the "District"). The County, the Developer, and the District are referred to herein collectively as the "Parties" and individually as a "Party."
