AGREEMENT (the “Original Agreement”), which is by and between Verizon Corporate Services Group Inc., by and on behalf of its affiliates and Cellco Partnership d/b/a Verizon Wireless, a Delaware partnership, with offices located at One Verizon Way, Basking Ridge, New Jersey 07920, ( “Verizon Wireless”), and Crackle, Inc., a Delaware corporation, with offices located at 10202 West Washington Boulevard, Culver City, California 90232 (“Company”) is entered into by Verizon Wireless and Company, each a Party and collectively the Parties herein as of June 1, 2011 (the “Amendment Date”). All capitalized terms not defined in this Amendment No. 2 shall have the meanings set forth in the Original Agreement.
