Acceptance and Detrimental Reliance: These Terms and Conditions (these “Terms”) shall be binding upon Molinos de Puerto Rico, LLC (“Seller”) and the buyer (“Buyer”) under the relevant agreement and together with these Terms and the respective invoice, shall form the agreement (the “Agreement”). All deliveries of goods described in the relevant Agreement (the “Goods”) by Seller to Buyer shall be delivered and accepted upon the terms and conditions set forth in these Terms. Based upon the Agreement with Buyer, Seller has relied to its detriment that Buyer will fully perform under the Agreement by immediately taking commodity equity positions with regard to the purchase of the Goods to be delivered under the Agreement.
