(“this Agreement”), dated as of February 15th, 2022 is entered into by and between MS Facilities LLC, a Delaware limited liability company (“LLC”), Federal Reserve Bank of Boston (the “FRBB”), as managing member of the LLC (in such capacity, the “Managing Member”) and State Street Bank and Trust Company (“Administrator”) (each a “Party” and, collectively, the “Parties”).
