This ESCROW AGREEMENT (the “Escrow Agreement”), executed and entered into as of June 1, 2005, by and between the NAPA COUNTY FLOOD PROTECTION AND WATERSHED IMPROVEMENT AUTHORITY, a public authority duly established and existing under the laws of the State of California (the “Authority”), and U.S. BANK NATIONAL ASSOCIATION, a national banking association duly organized and existing under and by virtue of the laws of the United States of America and being qualified to accept and administer the trust hereby created (the “Escrow Agent”).
