This First Amendment (“Amendment”), to the DHE License Agreement dated December 10, 2009 (the “Agreement”), by and between Culver Digital Distribution Inc., a Delaware corporation and affiliate of Sony Pictures Home Entertainment Inc. (“Licensor”) and Verizon Corporate Services Inc., a New York corporation (“Licensee”), is entered into and effective as of NovemberDecember __, 2010 (the “Amendment Date”). In consideration of the promises included herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto agree that the Agreement hereby is and shall be amended as follows. All capitalized terms not defined in this Amendment shall have the meanings set forth in the Agreement.
