THIS EMPLOYMENT AGREEMENT (the “Agreement”) is entered into as of the 7th day of March, 2006, by and between Paul S. Fisher (“Executive”) and Solstice Holdings LLC, a Delaware limited liability company (the “Company”), and at and after the Effective Time, by and among Executive, the Company and CenterPoint Properties Trust, a Maryland real estate investment trust (“CenterPoint”).
