This STOCK AND ASSET PURCHASE AGREEMENT, dated as of July __, 2020 (the “Agreement Date”), is made by and between Exide Technologies, LLC, a Delaware limited liability company (“Seller”), and Battery BidCo LLC, a Delaware limited liability company (together with is permitted assigns pursuant to Section 12.08, “Buyer”) and, solely for purposes of Section 12.17, 12.18 and 12.23, Atlas Capital Resources III LP, A Delaware limited partnership (“Guarantor” and together with Seller and Buyer, the “Parties”).
