This document (the “Licence”) sets out the terms and conditions under which any end user may use any software, apps, or other computer code (the “Software”) provided by Dialight Corporation or its Affiliates (“Dialight”). “Affiliate” means in relation a Party, any entity (corporate or otherwise) which at any time controls, is controlled by or which is under common control with such Party, where “control” means the right to exercise, directly or indirectly, more than 50% of the voting securities of the Party or relevant entity or the ability, directly or indirectly, to control or determine the management or general business decisions of such Party or entity, whether by membership on the relevant board of directors or other governing body, by contract or by any other means If the end user is an organisation, references to “You” or “Your” in in this License shall mean collectively, the organisation and the end user of the software as named in the applicable invoice.
