These general terms and conditions of sale (“GTCS”) are the only terms that apply to any purchase order (“PO” together with the GTCS, this “Agreement”) placed by an entity (“Buyer”) to MERSEN UK Teesside Ltd. having its registered address at Boltby Way, Durham Lane Industrial Park, Eaglesliffe, Stockton-on-Tees, Cleveland, TS16 0RH, UK (“Mersen”) for the provision of Mersen’s products, equipment, systems, and parts (individually and collectively, “Goods”) and/or services, such as repair services, field services, and engineering services (“Service(s)”). Buyer and Mersen are referred to herein individually as “Party” and collectively as “Parties”.
