AGREEMENT (this “Agreement”) is made and entered into as of [●], 2018 (the “Effective Date”), by and among Castex Energy, Inc., a Texas corporation (“CEI”), [Reorganized Castex Holdco], LLC, a Delaware limited liability company (“Holdco”), Castex Energy 2005, LLC, a Delaware limited liability company (“Castex 2005”), Castex Energy Partners, LLC, a Delaware limited liability company (“CEP”), and Castex Offshore, Inc., a Texas corporation (“COI,” together with Holdco, Castex 2005, CEP, and any other wholly owned subsidiary of Holdco, the “Company”). The Company and CEI may be referred to individually herein as a “Party” and collectively as the “Parties”.
