This Asset Purchase Agreement (this “Agreement”) is entered into as of October 20, 2017 (the “Effective Date”), by and among Culinary Coffee Roasters LLC, a Florida limited liability company (“Seller”), and IsoBev, Inc., a Florida corporation (“Purchaser”). Each of Seller and Purchaser may be referred to hereinafter as a “Party” or, collectively, as the “Parties”.
